M. Kingdon Offshore N.V. (the Fund) has changed its domicile from the Netherlands Antilles to the Cayman Islands with effect from January 3, 2006. The Fund is now registered as an exempted company limited by shares under Part VII of the Companies Law (2004 Revision) of the Cayman Islands.

To reflect such change in domicile, the Fund has changed its name to M. Kingdon Offshore Ltd., which change is also effective as at January 3, 2006. The Fund’s registered office in the Cayman Islands is:
